Standard Terms and Conditions for Selling Hardware, Software, and Licenses

Scope of Terms

These terms and conditions govern the sale of hardware, software, and licenses ("Products") by VDS to its customers ("Customer"). By placing an order with VDS, the Customer agrees to be bound by these terms and conditions.

Order Acceptance and Payment Terms

All orders are subject to acceptance by VDS. Payment terms will be stated on the invoice and are due as specified. VDS reserves the right to require full or partial payment before fulfilling the order, based on credit assessments or other risk factors.

Delivery and Risk of Loss

VDS will arrange for delivery of the Products to the Customer. Risk of loss passes to the Customer upon delivery to the carrier. Delivery dates are estimates only, and VDS is not liable for delays in shipment or delivery.

RMA (Return Merchandise Authorization) Policy

RMA will only be available if the related vendor and distributor ("Disti") allow it. Before the Customer initiates any return process, VDS must initiate the RMA with the vendor or Disti. Products sent back without prior RMA approval will not be accepted. The Customer must follow the RMA procedures as communicated by VDS.

Limited Warranty and Disclaimer

Products may be covered by the manufacturer’s or vendor’s warranty as specified in the Product documentation. VDS makes no separate warranty and disclaims all implied warranties, including warranties of merchantability or fitness for a particular purpose, to the fullest extent permitted by law.

Limitation of Liability

VDS's liability for any claims relating to the Products is limited to the amount paid by the Customer for the specific Products in question. VDS is not liable for any indirect, incidental, or consequential damages arising out of the sale or use of the Products.

Software Licenses

All software licenses are subject to the end-user license agreement provided by the software vendor. The Customer must comply with all license terms and restrictions specified by the vendor.

Force Majeure

VDS is not liable for any failure or delay in the performance of its obligations due to causes beyond its reasonable control, including but not limited to acts of God, natural disasters, wars, strikes, or other labor disputes.

Governing Law

These terms and conditions shall be governed by and construed in accordance with the laws of the state in which VDS is registered, without regard to its conflict of law principles.

Amendments and Modifications

 VDS reserves the right to amend these terms and conditions at any time without prior notice. The Customer will be bound by the terms in effect at the time of order placement.
